1. Acceptance of Terms
By accessing Loavenly (“Service”), you agree to these Terms of Service (“Terms”). If you disagree with any part of the Terms, do not use the Service. These Terms form a binding agreement between you (or the organization you represent) and Loavenly, Inc. (“Loavenly”).
2. Description of Service
Loavenly provides cloud-based software for food bank management, including:
- Client check-in and eligibility tracking
- USDA TEFAP / EFAP reporting
- Volunteer management
- Inventory tracking
- Donation recording
- Multi-location support
3. Account Registration
To use the Service, you must:
- Provide accurate, current, and complete information
- Be authorized by your organization to create an account
- Maintain the security of your account and credentials
- Promptly notify us of any unauthorized access or security breach
- Be at least 18 years of age
4. Data Ownership and Processing
Customer Data
- You own all data entered into the Service by your organization (“Customer Data”)
- Loavenly acts as a data processor under the California Consumer Privacy Act
- You control access, use, retention, and deletion of Customer Data
- Customer Data is portable — export is available at any time
Loavenly's Rights
- Aggregate, anonymized data may be used for analytics and product improvement
- Feedback you provide may be used without obligation to you
- Limited access to your data is permitted for support and maintenance
- We comply with legal requirements to preserve or disclose data
5. Compliance Responsibilities
Our Responsibilities
- Maintain WCAG 2.1 Level AA accessibility
- Provide EFAP / TEFAP reporting tools
- Retain compliance-relevant records for seven (7) years
- Implement reasonable security measures
- Follow our published breach notification procedures
Your Responsibilities
- Obtain any consents required from your clients
- Comply with EFAP and all applicable regulations
- Maintain your own privacy policy where required
- Train your staff on proper platform use
- Verify the accuracy of data you enter
6. Acceptable Use
You may not:
- Violate any laws or regulations
- Infringe intellectual property or privacy rights
- Transmit malware, viruses, or malicious code
- Attempt to breach, probe, or test platform security without authorization
- Share account credentials with unauthorized parties
- Use the Service in any way not expressly permitted by these Terms
- Resell or sublicense the Service without written permission
7. Payment Terms
- Subscription fees as agreed in your order or plan selection
- Payment via credit card or invoice, as offered
- Subscriptions renew automatically unless canceled
- Cancellation requires 30 days' written notice before the renewal date
- Fees for partial periods are non-refundable unless required by law
8. Data Security
We implement:
- Encryption at rest and in transit (TLS 1.2+)
- Row-level security (RLS) enforcing multi-tenant isolation
- Access controls and authentication via Supabase Auth
- Regular automated backups
- A documented incident response plan
9. Data Retention and Deletion
- Seven (7) year retention for compliance-relevant records
- 30-day grace period after cancellation for data export
- Data export available upon request in common formats
- Permanent deletion after the applicable retention period
- Backup copies retained per our documented policy
10. Confidentiality
We will:
- Keep your data confidential
- Not disclose without authorization from you or as required by law
- Limit access to authorized personnel with a legitimate business need
- Use Customer Data only to provide the Service and as otherwise permitted here
11. Service Level
- 99.9% uptime target, excluding scheduled maintenance
- Scheduled maintenance announced in advance
- Support response targets:
- Critical (platform outage): within 2 hours
- High (major feature broken): within 4 hours
- Normal: within 1 business day
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, the Service is provided “AS IS” without warranties, express or implied. Loavenly is not liable for indirect, incidental, special, consequential, or punitive damages. Our aggregate liability for any claim arising from the Service will not exceed the fees you paid in the twelve (12) months preceding the event giving rise to the claim.
13. Indemnification
You agree to indemnify and hold Loavenly harmless from claims arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any laws or regulations
- Any Customer Data you submit
14. Intellectual Property
- Loavenly owns the Service, platform, and all related intellectual property
- You own your Customer Data
- You receive a limited, non-transferable license to use the Service
- You may not modify, reverse engineer, or create derivative works of the Service
- Any feedback you provide becomes Loavenly's property
15. Termination
We may suspend or terminate your access for:
- Material breach of these Terms
- Non-payment of fees
- Illegal activity
- Prolonged account inactivity
Upon termination:
- Access is immediately revoked
- You have 30 days to export your data
- Any final invoice becomes due
- Provisions of these Terms that by their nature should survive will survive
16. Changes to These Terms
We may modify these Terms from time to time. We will provide at least 30 days' notice of material changes by email or via in-product notification. Continued use of the Service after changes take effect constitutes your acceptance.
17. Dispute Resolution
- These Terms are governed by the laws of the State of California
- Venue for any legal proceedings is a court of competent jurisdiction located in California
- The parties will attempt informal resolution before formal proceedings
- Class actions are waived to the extent permitted by law
18. Miscellaneous
- These Terms, together with any order form and our Privacy Policy and Data Processing Agreement, constitute the entire agreement between the parties
- If any provision is found unenforceable, the remaining provisions remain in effect
- Our failure to enforce any provision is not a waiver of our right to do so later
- Assignment requires our prior written consent
- Neither party is liable for delays or failures due to force majeure events
- Notices may be delivered by email to the address associated with your account
